These Terms of Service (“Terms”) govern your access to and use of the parsonite.xyz website located at parsonite.xyz and any related software, applications, content, products, or services offered by Parsonite, a United States limited liability company or corporation (the “Company,” “we,” “us,” or “our”). By accessing, registering for, or using the Service, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, each of which is incorporated by reference. If you do not agree to all of these Terms, you must not access or use the Service. These Terms apply to all visitors, users, customers, and others who access or use the Service.

1. Service Description

parsonite.xyz is a software-as-a-service (“SaaS”) platform that provides cloud-based tools, features, and functionality described on parsonite.xyz and in applicable order forms, subscriptions, or service descriptions (collectively, the “Service”). The Service is provided on an “as available” and “as is” basis, and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, subject to the terms set forth herein.

Access to certain features of the Service may require registration, payment of fees, and acceptance of additional terms or order forms. Any such additional terms are incorporated into these Terms by reference. Unless otherwise agreed in writing, we do not warrant that the Service will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components. Your use of the Service is at your own risk, and you are responsible for obtaining and maintaining all equipment, internet access, and third-party services necessary to access the Service.

We may use third-party service providers, hosting partners, payment processors, and other vendors to operate the Service. Your interactions with those third parties are governed by their respective terms and privacy policies. For information about how we collect, use, and disclose personal information, including your rights under the CCPA/CPRA and other applicable state privacy laws, please review our Privacy Policy.

2. User Accounts

To access certain features of the Service, you may be required to create an account and provide accurate, current, and complete information during the registration process. You agree to keep your account information up to date and to maintain the confidentiality of your account credentials, including your password. You are solely responsible for all activities that occur under your account, whether or not authorized by you, and you agree to notify us immediately of any unauthorized access or use of your account.

You may not create an account using a false identity or information, or on behalf of any person or entity other than yourself or an entity you are duly authorized to represent. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Service. By creating an account, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and complete.

We reserve the right, in our sole discretion, to suspend, disable, or terminate your account and refuse any and all current or future use of the Service if we believe that you have violated these Terms or applicable law, or for any other business reason. We are not liable for any loss or damage arising from your failure to maintain the confidentiality of your account credentials or from unauthorized use of your account.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all content, data, and activity that occurs in connection with your account and your use of the Service. You agree to comply with all applicable federal, state, and local laws, regulations, and ordinances, including but not limited to the CCPA/CPRA, other applicable state privacy laws, and all intellectual property, data security, and consumer protection laws.

You agree not to use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use and enjoyment of the Service. You may not attempt to gain unauthorized access to the Service, other users’ accounts, or our computer systems or networks through hacking, password mining, or any other means. You may not use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.

You further agree not to circumvent, remove, alter, deactivate, degrade, or thwart any content protections or security features of the Service, and not to introduce any viruses, Trojan horses, worms, logic bombs, or other harmful or malicious material. Any violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and may subject you to civil and criminal liability.

4. Prohibited Activities

In connection with your use of the Service, you are strictly prohibited from:

  • Using the Service for any illegal, fraudulent, defamatory, harassing, abusive, obscene, or otherwise objectionable purpose;
  • Infringing or misappropriating any intellectual property rights, privacy rights, publicity rights, or other proprietary rights of any person or entity;
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or underlying ideas of the Service, except to the extent expressly permitted by applicable law;
  • Uploading, transmitting, or distributing any content that contains malware, spyware, ransomware, or other harmful code;
  • Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
  • Engaging in any activity that interferes with or disrupts the Service or the servers and networks used to provide the Service;
  • Collecting or harvesting any personally identifiable information from other users of the Service without their express consent;
  • Using the Service to send unsolicited communications, promotions, advertisements, or spam; and
  • Violating any applicable export control, sanctions, or anti-money laundering laws and regulations.

This list is not exhaustive. We reserve the right to determine, in our sole discretion, whether any conduct violates these Terms and to take any action we deem appropriate, including account termination, legal action, and referral to law enforcement authorities.

5. Content Ownership

All content, materials, software, technology, designs, text, graphics, logos, icons, images, audio, video, and other materials made available through the Service, excluding User-Generated Content, are owned by or licensed to Parsonite and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in or to such materials, except for the limited license expressly set forth herein.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes during the term of your subscription or access. You may not reproduce, modify, distribute, display, perform, or create derivative works from any part of the Service except as expressly authorized by us in writing.

All trademarks, service marks, trade names, and logos displayed on the Service are the property of Parsonite or their respective owners. You may not use any of our trademarks or trade names without our prior written consent. If you provide us with any feedback, suggestions, ideas, or recommendations regarding the Service (“Feedback”), you hereby assign to us all rights, title, and interest in and to such Feedback, and we may use it without restriction or compensation to you.

6. User-Generated Content

The Service may allow you to upload, submit, store, send, or receive content, data, materials, or information (“User-Generated Content”). You retain ownership of any intellectual property rights that you hold in your User-Generated Content. By uploading or submitting User-Generated Content to the Service, you grant Parsonite a worldwide, royalty-free, sublicensable, transferable, non-exclusive license to use, reproduce, modify, adapt, publish, display, distribute, and perform such content solely for the purposes of operating, improving, promoting, and providing the Service.

You represent and warrant that: (i) you own or have the necessary rights, licenses, consents, and permissions to upload and share your User-Generated Content; (ii) your User-Generated Content does not violate any third-party rights, including intellectual property, privacy, or publicity rights; and (iii) your User-Generated Content complies with these Terms and all applicable laws. We do not claim ownership of your User-Generated Content, but we reserve the right to review, monitor, modify, or remove any User-Generated Content at any time and for any reason, including if we believe it violates these Terms or applicable law.

We respect the intellectual property rights of others and will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”). If you believe that any content on the Service infringes your copyright, please contact us at [email protected] with a detailed description of the allegedly infringing material and sufficient information to locate it. We reserve the right to terminate the accounts of users who are repeat infringers.

7. Payment Terms

Certain features of the Service require payment of fees, which are described on parsonite.xyz or in an applicable order form, subscription agreement, or invoice. All fees are quoted in United States dollars unless otherwise stated and are exclusive of applicable taxes, duties, or other governmental charges. You are responsible for paying all such taxes associated with your purchase, except for taxes based on our net income.

Unless otherwise stated, subscriptions automatically renew for successive periods equal to the initial subscription term unless you cancel before the end of the then-current term. You authorize us to charge your selected payment method on a recurring basis for all applicable fees and taxes. You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellations typically take effect at the end of the current billing period, and you will not receive a refund for any prepaid fees unless required by applicable law.

If any payment is not successfully processed due to expiration, insufficient funds, or otherwise, we may suspend or terminate your access to the Service until payment is received. We reserve the right to change our fees or subscription plans upon notice, which may be provided by posting the updated fees on parsonite.xyz or by sending notice to the email address associated with your account. Any fee changes will take effect as of the next billing cycle following the notice.

8. Service Modifications

We reserve the right to modify, update, suspend, or discontinue the Service, or any part thereof, temporarily or permanently, at any time and for any reason, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service. We may also update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the “Last Updated” date.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account. It is your responsibility to review these Terms periodically. We may also release updates, patches, or new versions of the Service, and you agree that we may automatically install such updates as part of your use of the Service.

We may provide notice of material changes by email, through the Service, or by other reasonable means. However, non-material changes may take effect immediately upon posting. All changes are effective when posted unless otherwise stated. The provisions of these Terms that by their nature should survive termination will survive, including but not limited to provisions relating to ownership, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Parsonite, its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Service, whether based on warranty, contract, tort, statute, or any other legal theory, even if we have been advised of the possibility of such damages.

Except as prohibited by applicable law, our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the amount you paid to us for the Service during the twelve (12) month period immediately preceding the event giving rise to liability, or (b) one hundred United States dollars (USD $100). The limitations set forth in this section apply regardless of the form of action and regardless of whether the damages are direct, indirect, incidental, consequential, or otherwise.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, timely, accurate, complete, or error-free.

9.1 Governing Law, Arbitration, and Class Action Waiver

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the United States and the State in which Parsonite maintains its principal place of business, without giving effect to any choice or conflict of law provision that would result in the application of the laws of a different jurisdiction.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by JAMS or the American Arbitration Association in accordance with their applicable rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction for claims related to intellectual property, confidentiality, or unauthorized access. YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO A JURY TRIAL.

If you do not wish to be bound by the arbitration and class action waiver provisions in this section, you must notify us in writing at [email protected] within thirty (30) days of the date you first accept these Terms or any material change to this section. Such notice must include your name, address, and a clear statement that you do not wish to resolve disputes through arbitration.

10. Termination

These Terms will remain in full force and effect while you use the Service. You may terminate your account at any time by following the instructions available through the Service or by contacting us at [email protected]. Upon termination, your right to access and use the Service will immediately cease, and you must discontinue all use of the Service and destroy any materials obtained from the Service.

We may suspend or terminate your access to the Service, with or without cause, with or without notice, at any time and for any reason, including if we believe that you have violated these Terms, applicable law, or the rights of any third party. Upon termination for any reason, all licenses and other rights granted to you under these Terms will immediately cease, but all provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, payment obligations, warranty disclaimers, limitation of liability, indemnification, and dispute resolution.

If your account is terminated due to a violation of these Terms, you will not be entitled to a refund of any fees paid. We reserve the right to retain and use your data in accordance with our Privacy Policy following termination. You agree that we shall not be liable to you or any third party for any termination of your access to the Service or deletion of your account or data.
