Terms and Conditions

Last Updated: September 2026

Welcome to parsonite.xyz ("Website"), operated by Parsonite ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Parsonite regarding your access to and use of the Website, products, services, content, features, tools, software applications, and functionality offered through parsonite.xyz (collectively, the "Services"). By accessing, browsing, registering for, subscribing to, or using the Website or Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Website and Services and refrain from accessing them in the future.

These Terms apply to all visitors, users, customers, subscribers, and others who access or use the Services, regardless of whether you have created an account, purchased a subscription, or are merely browsing. Certain Services may be subject to additional terms, conditions, policies, or guidelines that we post or make available from time to time, including subscription terms, service level agreements, acceptable use policies, or data processing addendums. In the event of a conflict between these Terms and any such additional terms, the additional terms will govern solely with respect to the specific Service to which they relate. We reserve the right to modify, suspend, or terminate the Services or any portion thereof at any time, with or without notice to you, and we shall not be liable to you or any third party for any such modification, suspension, or termination.

1. Acceptance of Terms

By accessing or using the Website and Services, you represent and warrant that you are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and that you have the legal capacity, right, and authority to enter into and be bound by these Terms. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" or "User" shall refer to such entity and its affiliates, and you agree that you and the entity shall be jointly and severally liable for any breach of these Terms.

Your continued use of the Website and Services after any changes, modifications, or updates to these Terms constitutes your acceptance of the revised Terms. If you do not agree with any provision of these Terms or any future modifications, your sole and exclusive remedy is to stop using the Website and Services immediately. We may, in our sole discretion, refuse to offer the Services to any person or entity and may change the eligibility criteria for use of the Services at any time without prior notice.

You agree that your use of the Services does not create any employment, agency, partnership, joint venture, franchise, or fiduciary relationship between you and Parsonite. These Terms do not confer any third-party beneficiary rights upon any person or entity not a party hereto, and no such third party shall have any right to enforce any provision of these Terms.

2. Use of Service

Parsonite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website and Services solely for your internal business purposes or personal use, as applicable and in accordance with these Terms. This license is subject to your compliance with these Terms and any additional terms applicable to the specific Services you use. You may not use the Services for any illegal, unauthorized, or prohibited purpose, nor may you use the Services in any manner that could damage, disable, overburden, impair, or interfere with any other party's use and enjoyment of the Services.

To access certain features of the Services, you may be required to register for an account, provide accurate and complete information, and maintain the security and confidentiality of your account credentials. You are solely responsible for all activities that occur under your account, whether or not authorized by you, and you agree to notify us immediately of any unauthorized use or security breach. We reserve the right to disable any user account, suspend access, or terminate any Service at our sole discretion, including if we believe that you have violated these Terms or engaged in fraudulent, abusive, or unlawful activity.

The Services may be subject to usage limits, storage limits, bandwidth limits, feature restrictions, or other technical limitations as specified in your subscription plan, order form, or other applicable documentation. You acknowledge that the Services may be temporarily unavailable from time to time due to scheduled maintenance, updates, or factors beyond our reasonable control, and we do not guarantee uninterrupted or error-free access to the Services. Any reliance upon the Services or any materials available through the Services is at your own risk.

3. User Obligations

You agree to use the Website and Services in compliance with all applicable federal, state, and local laws, regulations, and ordinances, including but not limited to the California Consumer Privacy Act ("CCPA"), as amended by the California Privacy Rights Act ("CPRA"), and other applicable state privacy laws. You shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying ideas or algorithms of the Services; (b) modify, translate, or create derivative works based on the Services; (c) rent, lease, distribute, sell, resell, assign, or transfer any rights granted to you under these Terms; (d) remove any proprietary notices or labels from the Services; (e) use the Services to send spam, phishing messages, malware, viruses, or other harmful or disruptive communications; (f) interfere with or disrupt the integrity or performance of the Services or the data contained therein; or (g) attempt to gain unauthorized access to the Services, related systems, or networks.

You are solely responsible for all data, information, content, materials, and other items that you upload, post, transmit, store, or otherwise make available through the Services ("User Content"). You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize us to use your User Content in the manner contemplated by these Terms and the Services, and that your User Content does not violate any applicable law or infringe, misappropriate, or otherwise violate any intellectual property, proprietary, privacy, publicity, or other rights of any third party.

If you collect, process, or store personal information of consumers, customers, or other individuals through the Services, you are responsible for providing appropriate notices and obtaining any required consents in accordance with applicable privacy laws, including the CCPA/CPRA and other applicable state privacy laws. You further agree not to sell, share, or disclose personal information in violation of applicable law, and you acknowledge that we do not sell personal information as that term is defined under the CCPA/CPRA except as may be expressly permitted by our Privacy Policy.

4. Intellectual Property Rights

All content, materials, software, technology, designs, text, graphics, logos, icons, images, audio clips, video clips, data compilations, databases, and other materials made available through the Website and Services, including the look and feel, structure, organization, and selection of such materials (collectively, "Company Content"), are owned by Parsonite, its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Nothing in these Terms shall be construed as granting you any license or right to use any Company Content except as expressly authorized herein.

The parsonite.xyz name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Parsonite or its affiliates or licensors. You may not use such marks without the prior written permission of Parsonite. All other names, logos, product and service names, designs, and slogans appearing on the Website are the trademarks of their respective owners. Any unauthorized use of Company Content or trademarks may violate copyright, trademark, and other applicable laws and may result in civil and criminal penalties.

You retain all right, title, and interest in and to your User Content. By submitting, uploading, posting, or otherwise making available any User Content through the Services, you grant Parsonite a non-exclusive, worldwide, royalty-free, fully paid-up, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and store your User Content solely for the purposes of operating, providing, maintaining, improving, and developing the Services and as otherwise permitted by our Privacy Policy. You represent that you have the right to grant the foregoing license and that your User Content does not infringe the rights of any third party.

5. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Parsonite, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF Parsonite AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO Parsonite FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00). THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER THE ASSERTED LIABILITY OR DAMAGES ARE BASED ON CONTRACT, INDEMNIFICATION, TORT, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND SHALL SURVIVE ANY TERMINATION OF THESE TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF Parsonite SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. THE LIMITATIONS SET FORTH IN THIS SECTION SHALL NOT APPLY TO DAMAGES ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR TO THE EXTENT PROHIBITED BY APPLICABLE CONSUMER PROTECTION LAWS.

6. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Parsonite EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, CURRENCY, RELIABILITY, AND ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, Parsonite DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY INFORMATION, CONTENT, MATERIALS, ADVICE, OR RESULTS OBTAINED THROUGH THE SERVICES. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE DEVICE, LOSS OF DATA, OR OTHER HARM THAT RESULTS FROM YOUR USE OF THE SERVICES.

No advice or information, whether oral or written, obtained by you from Parsonite or through the Website or Services shall create any warranty not expressly stated in these Terms. The disclaimers set forth in this section shall apply to the fullest extent permitted by applicable law and shall survive any termination of these Terms. The Services may be subject to limitations, delays, and other problems inherent in the use of the internet, electronic communications, and third-party service providers, and Parsonite is not responsible for any such delays, delivery failures, or other damage resulting from such problems.

7. Indemnification

You agree to defend, indemnify, and hold harmless Parsonite, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of, or inability to use, the Website or Services; (b) your User Content; (c) your violation of these Terms or any applicable law, rule, or regulation; (d) your violation, misappropriation, or infringement of any third-party right, including any intellectual property right, publicity right, confidentiality right, property right, or privacy right; (e) your negligent, willful, or wrongful conduct; or (f) your use of the Services in a manner not authorized by these Terms.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You agree not to settle any matter without the prior written consent of Parsonite. The indemnification obligations set forth in this section shall survive termination of these Terms and your use of the Website and Services.

This indemnification obligation applies regardless of whether the claim arises from your direct actions, the actions of any person using your account, or any third party with whom you have shared access to the Services. You acknowledge that you are responsible for all use of the Services through your account and that you will be held liable for any damages resulting from unauthorized use or misuse of the Services.

8. Governing Law

These Terms and any dispute or claim arising out of or relating to these Terms, the Website, or the Services shall be governed by and construed in accordance with the laws of the State of Parsonite, United States, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal or state courts located in the State of Parsonite, United States. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts. Notwithstanding the foregoing, Parsonite may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of any dispute.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Website or Services or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. This one-year limitations period shall apply to the maximum extent permitted by applicable law and shall not apply to any claims that cannot be limited under applicable consumer protection statutes.

9. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or the Services, including the formation, interpretation, breach, termination, or validity thereof, shall first be addressed through good faith negotiation between the parties. If the parties are unable to resolve the dispute through good faith negotiation within thirty (30) days after one party provides written notice of the dispute to the other party, either party may pursue binding arbitration or litigation as set forth herein.

At the election of Parsonite, any dispute that cannot be resolved through negotiation shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and Mediation Procedures. The arbitration shall be conducted in the English language in the State of Parsonite, United States. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The arbitrator shall have no authority to award punitive or exemplary damages, to modify or limit any provision of these Terms, or to award injunctive relief except as may be separately sought in a court of competent jurisdiction.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the scope of such court's jurisdiction, or seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, OR REPRESENTATIVE PROCEEDINGS WITH RESPECT TO ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE WEBSITE, OR THE SERVICES.

10. Termination

These Terms shall remain in full force and effect while you use the Website and Services. Parsonite may, in its sole discretion and without prior notice, suspend, disable, terminate, or restrict your access to all or part of the Website or Services for any reason, including but not limited to your breach of these Terms, suspected fraudulent or abusive activity, non-payment of fees, or as required by applicable law. Upon termination, all licenses and other rights granted to you under these Terms will immediately cease, and you must immediately discontinue all use of the Website and Services.

You may terminate these Terms at any time by discontinuing your use of the Website and Services and, if applicable, deleting your account. Termination of these Terms shall not relieve you of any obligations or liabilities that have accrued prior to such termination, including but not limited to payment obligations, indemnification obligations, and confidentiality obligations. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to provisions relating to intellectual property rights, limitation of liability, disclaimers, indemnification, governing law, and dispute resolution.

Parsonite shall not be liable to you or any third party for any termination of your access to the Website or Services. In the event that we terminate your account due to a breach of these Terms, you may be prohibited from creating a new account or accessing the Services in the future. Any data associated with your account may be deleted following termination in accordance with our Privacy Policy and applicable law.

11. Changes to Terms

Parsonite reserves the right, in its sole discretion, to modify, amend, or update these Terms at any time and for any reason. When we make material changes to these Terms, we will post the updated Terms on this page and update the "Last Updated" date at the top of this page. We may also provide notice of material changes by email, through the Services, or by other means consistent with applicable law. Your continued use of the Website and Services after the effective date of any revised Terms constitutes your acceptance of the revised Terms.

It is your responsibility to review these Terms periodically to stay informed of updates. If you do not agree to the modified Terms, you must stop using the Website and Services immediately. Material changes to these Terms will be effective upon posting for new users and will become effective for existing users no sooner than the date indicated in the updated Terms or as otherwise required by applicable law.

We may also revise or update the Services, including adding or removing features or functionality, at any time without prior notice. Your continued use of the Services following any such changes constitutes your acceptance of the updated Services. If we make changes to these Terms that materially affect your rights or obligations, we will make reasonable efforts to notify you in advance.
